The merger agreement includes a consortium led by RedBird Capital Partners and KKR, who will invest over $8 billion into Paramount and acquire National Amusements. This move gives National Amusements an enterprise value of $2.4 billion, with $1.75 billion in equity. Under the new merger, David Ellison, founder of Skydance and son of Oracle founder Larry Ellison, will lead the combined company as CEO, with Jeff Shell serving as president. The deal is subject to regulatory approval, with a 45-day “go-shop period” allowing the Paramount special committee to consider other offers.
